Terms of Service

Section 1

General

Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before registering for the Assign It To Me service.

By using the Assign It To Me (“Service”), you agree to be bound by the Terms specified in this document. If you disagree with any part of the terms then you must cancel your subscription (see Termination).

Your continued access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users and others who access or use the Service.

Assign It To Us Technology Solutions, Inc (“Company”) reserves the right to update and change these Terms of Service without notice.

The following terms and conditions govern all use of the assignittome.com Service and all content, services and products available at or through the Service. The Service is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Assign It To Us’ privacy policy) and procedures that may be published from time to time on this Site by Assign It To Us.

Your agreement is with Assign It To Us Technologies, Inc. and is governed by the laws of Ontario, Canada.

Violation of any of the Terms can result in the cancellation of your account.*

Your Assign It To Me Site

When you register one or more service instances (“Site”) of the Assign It To Me Service, you are responsible for maintaining the security of your Site(s) and data, and you are fully responsible for all activities that occur under the Site(s) and any other actions taken in connection with the site.

You must immediately notify Assign It To Us of any unauthorized uses of your Site(s), your account or any other breaches of security. Assign It To Us will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions.

Subscription Payment and Renewal
General Terms

Paid services for long-term use are available on the Service (any such services, a “Subscription”). By selecting a Subscription you agree to pay Assign It To Us the monthly or annual subscription fees indicated for that service.

Payments will be charged on a pre-pay basis on the day you sign up for a Subscription and will cover the use of that service for a monthly or annual subscription period as indicated.

Automatic Renewal

Unless you notify Assign It To Us before the end of the applicable subscription period that you want to cancel a Subscription, your Subscription will automatically renew and you authorize us to collect the then-applicable annual or monthly subscription fee for such Subscription (as well as any taxes) using any credit card or other payment mechanism we have on record for you. Subscriptions can be canceled at any time in the Account Settings of your Site.

Section 2

Responsibilities of Account Holders (Subscribers)

A Subscriber is a person who registers a Site.

  1. You must be legally qualified to agree to these Terms of Service.

  2. You must provide your full legal name, a valid email address and any other information requested in order to complete the registration process.

  3. You may not use the Service for any illegal purpose or to violate any laws in your jurisdiction.

  4. You are responsible for all content posted and activity for your Site(s). That includes the content and activity posted by users of your Site(s).

  5. You understand that the Company uses third party vendors and partners to deliver and run the Service.

  6. You are responsible for properly canceling your account. You must cancel your account from within the application.

  7. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service or access to the Service without express written permission by the Company.

  8. Abuse of any kind (verbal, written or phyiscal) of any Service customer or Company employee can result in immediate account termination.

Responsibilities of All Users

Users includes Subscribers as well as the people to whom they have granted access to their Site(s).

  1. You must be legally qualified to agree to these Terms of Service.

  2. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

  3. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

  4. You are responsible for maintaining the security of your account and password.

  5. You may not use the Service for any illegal purpose or to violate any laws in your jurisdiction.

  6. You must not modify, adapt, or hack the Service.

  7. Assign It To Us has not reviewed, and cannot review, all of the material, including computer software, posted to the Service, and cannot therefore be responsible for that material’s content, use or effects.

  8. By operating the Service, Assign It To Us does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful.

  9. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content.

  10. The Service may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors.

  11. The Service may also contain material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated.

  12. Assign It To Us disclaims any responsibility for any harm resulting from the use by visitors of the Service, or from any downloading by those visitors of content there posted.

Section 3

Intellectual Property
  1. All content posted on the Service by you and your users must comply with copyright laws.

  2. The Company claims no intellectual property rights over materials you provide to the Service. All materials added by you remain yours.

  3. The Company does not pre-screen or review content, but reserves the right to refuse or remove any content that is available via the Service.

  4. The look and feel of the service is copyright Assign It To Us Technologies, Inc. All rights reserved.

  5. You may not duplicate, copy or reuse any code (HTML, CSS, Javascript) or visual design elements without the express written permission from the Company.

Termination
  1. Assign It To Us may terminate our suspend access to all or any part of the Service at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

  2. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you must cancel using the provided functionality within the Service. An email or phone request is not considered cancellation.

  3. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

  4. Your data will no longer be accessible upon cancellation. After a set period of time, all of this content will be permanently deleted. This information cannot be recovered after being deleted.

Disclaimer of Warranties
  1. The Service is provided “as is”. Assign It To Us and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non- infringement. The Company is not responsible for any losses or damages related to errors, security breaches or outages.

  2. Neither Assign It To Us nor its suppliers and licensors, makes any warranty that the Service will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Service at your own discretion and risk.

  3. Assign It To Us does not warrant that the Service will meet your specific requirements, nor does it warrant that results and calculations provided by the service will be accurate or reliable.

  4. The Service may contain links to third-party web sites or services that are not owned or controlled by the Company. The Service has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that my site shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

  5. While the Service will be updated regularly, Assign It To Us does not warrant that any or all of the errors in the service will be corrected.

  6. As part of the regular operation of Assign It To Me, updates and modifications may result in changes in how the Service looks and operates. As such, Assign It To Us does not guarantee that the way the Service operates today will be the same as how it will operate in the future.

  7. We are constantly updating the Service, and that means sometimes we have to change the legal terms under which our services are offered. If we make changes that are material, we will let you know by posting on one of our sites, or by sending you an email or other communication before the changes take effect.

  8. The notice will designate a reasonable period of time after which the new Terms will take effect. If you disagree with our changes, then you should stop using Assign It To Me within the designated notice period. Your continued use of Assign It To Me will be subject to the new Terms. However, any dispute that arose before the changes shall be governed by the Terms (including the binding individual arbitration clause) that were in place when the dispute arose.

  9. Any new features that augment or enhance the current Service, including the release of new functionality, shall be subject to the Terms of Service. Continued use of the Service after these changes constitutes your consent to such changes.

Section 4

Limitation of Liability

You expressly understand and agree that the Company shall not be liable for any direct, indirect, special, incidental, consequential or exemplary damages for loss of profits, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages) resulting from:

  1. The cost of procurement for substitute products or services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service

  2. For interruption of use or loss or corruption of data

  3. Unauthorized access to or alteration of your transmissions or data

  4. For any amounts that exceed the fees paid by you to Assign It To Us under this agreement during the twelve (12) month period prior to the cause of action.

  5. Any other matter relating to the service.

Assign It To Us shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

You agree to indemnify and hold harmless Assign It To Us, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Service, including but not limited to your violation of this Agreement.

Agreement

This Agreement constitutes the entire agreement between Assign It To Us and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Assign It To Us, or by the posting by Assign It To Us of a revised version. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Service will be governed by the laws of the province of Ontario, Canada.

General Representation and Warranty. You represent and warrant that (i) your use of the Service will be in strict accordance with the Assign It To Us Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use of the Service will not infringe or misappropriate the intellectual property rights of any third party.

Governing Law These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.

If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect.

These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

If you do not agree to the new terms:

  1. Subscribers should cancel their subscriptions.

  2. Regular users should stop using the Service.
